These Terms of Service stipulate the rights and obligations between Korea Deep Learning Inc. and the user regarding the use and payment of DEEP Agent, an AI-based document processing SaaS service provided by the company.

1. Purpose
The purpose of these Terms is to clarify the legal relationship between Korea Deep Learning Inc. (hereinafter referred to as the "Company") and the user by stipulating the conditions of use, rights and obligations, scope of responsibility, and service operation standards regarding the use of the DEEP Agent service provided by the Company. This service provides document structuring and data extraction functions utilizing the Company's AI technology, and the user may use the service in accordance with these Terms and the operational policies set by the Company.
2. Effect and Amendment of Terms
These Terms become effective upon being posted on the service screen or the Company's website. The act of a user using the service or subscribing to a paid plan is deemed to constitute agreement to these Terms. The Company may amend the Terms if necessary due to the enactment or amendment of relevant laws or changes in service operation policies. In the event of an amendment, the Company will notify users 7 days prior to the effective date (30 days prior if the changes are disadvantageous to the user). If the user does not raise an objection by the effective date of the amended Terms, they are deemed to have agreed to the amended Terms.
3. Nature and Scope of DEEP Agent
3-1. DEEP OCR (Official Service)
Provides AI-based document data extraction (KIE), document structuring, and related additional functions. The Company strives to improve technical perfection, but the user understands and agrees that due to the nature of probability model-based AI, the absolute accuracy of the output results cannot be fully guaranteed. Only for customers subscribing to the Ultra tier among the paid plans, the Company assigns a separate dedicated consultant and provides 1:1 technical support and consulting.
3-2. DEEP Parser (Beta Service)
Provides experimental functions in the beta stage and is operated for the purpose of experiencing functions and verifying quality. The Beta Service does not guarantee the same level of Service Level Agreement (SLA) as the Official Service, and the Company may change or suspend the functions without prior notice as deemed necessary for operation.
4. Establishment of Use Contract
The service use contract is established when an adult capable of entering into a legally valid contract according to relevant laws, or an authorized representative of a corporation, agrees to the Terms, creates an account, and the Company approves it. The user is responsible for securely managing their account information (ID and Password) and cannot share or transfer it to a third party. If unauthorized use or signs of abnormal login are detected, the user must immediately notify the Company, and any damages caused by a delay in notification shall be the user's responsibility. If a security threat is detected, the Company may require additional authentication procedures or restrict access.
5. Data Ownership and Privacy
To improve service quality and advance AI models, the Company collects and processes files uploaded by the user, extracted data, and log information. The Company holds the Controller rights over the collected data and has the right to utilize it for the purpose of model training and service performance enhancement. Detailed matters are subject to a separate Privacy Policy. The output generated with the credits paid by the user is preserved even after the subscription is suspended, but upon account withdrawal, all data is immediately destroyed, excluding data subject to retention obligations under relevant laws.
6. Paid Services and Payment Policy
The use of paid services operates on a 1-month regular subscription and credit deduction basis. The order process, payment processing, and receipt issuance for this service are conducted through Paddle (Paddle.com), the Company's official online reseller and Merchant of Record.
Detailed billing cycles, billing currency (USD), immediate cancellation conditions upon payment failure, manual plan changes, and refund policies are subject to the separately posted Payment and Refund Policy, which has the same effect as these Terms. The user is responsible for exchange rate fluctuations and overseas transaction fees incurred when using the global payment service (Paddle).
7. Prohibited Acts and Actions against Violations
The user must not engage in any of the following acts:
Attempting reverse engineering, reproduction, modification, or model inference of the service.
Causing an excessive load on the system through automated means or abnormal calls.
Unauthorized uploading of another person's personal or sensitive information, or acts violating laws.
Infringing on the Company's intellectual property rights or reselling the service itself. Upon confirming a violation, the Company may take measures such as restricting use, withdrawing the account, and pursuing legal action without prior notice.
8. Intellectual Property Rights and Commercial Use
The intellectual property rights to the service components (models, algorithms, UI, etc.) belong to the Company. Paid service users have non-exclusive commercial use rights to the output of the service. However, acts of retraining the Company's competing models using the output or unauthorized redistribution of the service components are prohibited.
9. Account Withdrawal and Data Destruction
If a user requests account withdrawal, the Company immediately deletes the data, and this is irreversible. The responsibility for data backup prior to deletion lies entirely with the user. The Company is not responsible for data loss caused by negligence in backup.
10. Modification and Suspension of Service
The Company may change or temporarily suspend the functions, model specifications, or interfaces of the service without prior notice due to AI model advancement, server maintenance, or operational needs. The Company does its best for technical perfection but does not fully guarantee continuous and stable service operation. Unless otherwise specified by relevant laws, the Company is not responsible for the loss of expected profits or damages caused by changes in output due to the modification or suspension of the service.
11. Limitation of Liability and Disclaimer
The output of the service is a result based on probabilistic AI models and may include errors or hallucinations. The Company does not guarantee the accuracy, completeness, fitness for a particular purpose, and real-time nature of the output. The user must not use the output of the service as a basis for sensitive decision-making such as legal judgments, medical, tax, or public administration, and the final responsibility for the results generated from utilizing it lies with the user. The Company is exempt from liability to the extent permitted by law for damages caused by service suspension, the user's violation of prohibited acts, or negligence in account management.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Korea. In the event of a dispute related to the use of the service, the court having jurisdiction over the location of the Company's head office shall be the court of first instance.
